Soltivo – Beta Terms of Service (Trial Use)

1. Nature of the Beta Software

Soltivo is an experimental software project made available on a pre-release (beta) basis for testing, evaluation, and feedback purposes only (the "Beta Software").

At this stage:

  • Soltivo is not a commercial service;
  • Soltivo is not operated by a formally incorporated legal entity;
  • No regulated financial, payment, or custodial services are being offered;
  • Access is provided solely for testing and experimental use.

By using the Beta Software, you acknowledge that you are participating in a limited trial and that the software may contain errors, interruptions, or unexpected behavior.

2. Eligibility

You represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to participate in a beta testing program;
  • You are using the Beta Software at your own risk.

3. Wallets and Control of Funds

  • Soltivo does not provide wallets and does not custody funds;
  • You must connect a self-custodial blockchain wallet that you exclusively control;
  • All transactions are:
    • initiated by you,
    • signed by you,
    • executed directly on the blockchain.

Soltivo cannot access, freeze, reverse, or control your funds at any time.

4. Test Transactions and Experimental Fee

As part of the Beta Software testing:

  • Certain transactions may include an experimental software usage fee of 1% of the transaction amount (the "Test Fee");
  • The Test Fee is:
    • automatically executed via smart contracts,
    • applied solely for the purpose of testing payment flows, fee logic, and system performance,
    • not a commercial service fee or price.

You acknowledge and agree that:

  • The Test Fee is part of the experimental design of the Beta Software;
  • The Test Fee is non-refundable;
  • The Test Fee does not create a commercial relationship, service obligation, or expectation of continuity.

You are solely responsible for any blockchain network fees ("gas fees") required to complete a transaction.

5. Finality of Payments and No Refunds

All transactions executed through the Beta Software are final and irreversible once confirmed on the blockchain.

You expressly acknowledge and agree that:

  • Soltivo does not process, facilitate, or mediate refunds, chargebacks, or reversals;
  • Soltivo does not resolve disputes between users and merchants;
  • Any issue related to goods, services, delivery, quality, or fulfillment must be resolved directly between the user and the merchant;
  • Payments made in error, to incorrect addresses, or under disputed circumstances cannot be reversed by Soltivo.

By using the Beta Software, you assume full responsibility for verifying transaction details before initiating any payment.

6. No Commercial Relationship

Use of the Beta Software does not create:

  • a commercial service agreement;
  • a customer–provider or merchant–intermediary relationship;
  • any obligation to provide customer support, refunds, or dispute resolution.

Soltivo is not a party to any transaction between users and third parties.

7. No Guarantees

The Beta Software is provided "as is" and "as available", without warranties of any kind, whether express or implied.

Soltivo does not guarantee that:

  • the Beta Software will be uninterrupted or error-free;
  • transactions will execute successfully;
  • data will be preserved or recoverable.

8. Assumption of Risk

You acknowledge and accept all risks associated with:

  • beta software;
  • blockchain technology;
  • smart contracts;
  • irreversible transactions;
  • digital assets and network congestion.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Soltivo and its contributors shall not be liable for any indirect, incidental, special, or consequential damages;
  • Total liability, if any, shall not exceed the total Test Fees paid by you during the beta period.

10. Acceptable Use

You agree not to use the Beta Software for:

  • unlawful activities;
  • fraud or deception;
  • sanctions violations;
  • abuse, exploitation, or automated interference;
  • attempts to compromise the software or other users.

Access may be restricted or revoked at any time.

11. Termination of Beta Access

Access to the Beta Software may be suspended or terminated at any time, without notice, for any reason, including the conclusion of the beta period.

12. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to the Beta Software or these Terms shall be resolved through binding arbitration, administered by the American Arbitration Association (AAA), on an individual basis only.

You waive any right to participate in class, collective, or representative actions.

This arbitration agreement shall be governed by the laws of the State of Delaware, United States.

13. Transition to Formal Service

You acknowledge that:

  • The Beta Software may be discontinued, modified, or migrated to a formally incorporated entity in the future;
  • Continued use after such transition may require acceptance of new terms and conditions.

No rights, credits, or expectations are guaranteed as part of this beta participation.
